Affiliate Program Agreement

This Affiliate Program Agreement (the "Agreement") is entered into between Dio Technologies, Inc. ("Merchant," "we," "us," or "our") and the Affiliate ("Affiliate," "you," or "your"), collectively referred to as the "Parties." By participating in our Affiliate Program, you agree to the following terms and conditions:

1. Program Overview

We offer a commission-based Affiliate Program (the "Program") for promoting and selling our multi-room speakers ("Products"). The Program allows Affiliates to earn commissions for sales that result from referrals made through their unique affiliate links.

2. Enrollment and Acceptance

To participate in the Program, you must complete our Affiliate Application. Once approved, you will be granted access to your unique affiliate link and promotional materials. Your acceptance into the Program is at our sole discretion, and we may reject or terminate your participation at any time.

3. Commission and Payment

3.1 Commission Rate: You will receive a commission for each sale made through your affiliate link or affiliate discount, as applicable. The amount of the commission is determined in the Program details or otherwise negotiated directly by the Parties.
3.2 Cookie Duration: The Program utilizes cookies to track sales made from customer clicks on your affiliate link. The length of the cookie tracking is listed in the Program details.
3.3 Payment: Unless other payment terms or schedules are set by the Affiliate Program Platform Provider (e.g, ShareASale, Awin, or other platform), payments will be made on a monthly basis provided that your account has reached the minimum payment threshold of $20.
3.4 Refunds: If a customer returns the product or requests a refund, the commission for that sale will be deducted from your earnings.
3.5 Fraudulent or Invalid Sales: We reserve the right to withhold payment of commissions that we believe resulted from fraudulent or invalid clicks or sales.

4. Affiliate Responsibilities

4.1 Promoting Products: Affiliates are responsible for promoting our Products through their affiliate links using the tools and materials provided. You are responsible for the development, operation, and maintenance of your website and for all materials that appear on your website.
4.2 Compliance with Laws: Affiliates must comply with all applicable laws, including but not limited to regulations related to online advertising, spam, privacy, and FTC guidelines regarding endorsements and testimonials.
4.3 No Misleading Claims: Affiliates must not make false, misleading, or deceptive claims about our Products or business.

5. Marketing and Promotional Guidelines

5.1 Affiliates may use the materials we provide, including banners, product images, and text links, to promote our Products. You must adhere to any guidelines we issue related to branding, trademarks, and advertising practices.
5.2 You may promote our products through your website, email marketing, social media, and other online channels, provided that such promotion complies with this Agreement and our guidelines.
5.3 You are prohibited from engaging in any spam, unsolicited bulk email, or any other form of unethical marketing practices.

6. Intellectual Property

6.1. We grant you a non-exclusive, non-transferable license to use our trademarks, logos, and marketing materials solely for the purpose of promoting our products under this Agreement.
6.2. You agree not to modify, alter, or misuse any trademarks, logos, or other intellectual property owned by the Company.

7. Affiliate Termination

This Agreement will commence on the date of your acceptance and will continue until terminated by either party. We reserve the right to terminate this Agreement at any time, with or without cause. Affiliates may also terminate their participation in the Program by providing written notice. Upon termination, all commissions owed will be paid to the Affiliate, provided no fraudulent activity has been detected.

8. Program Modifications

We may modify, suspend, or terminate the Program at any time with written notice. Any changes will apply to future transactions and will not affect commissions owed for sales made before the change.

9. Limitation of Liability

We will not be liable for any indirect, incidental, special, or consequential damages arising from participation in the Program or this Agreement.

10. Miscellaneous

10.1 Independent Contractors: The Parties are independent contractors, and nothing in this Agreement will create a partnership, joint venture, or employment relationship.
10.2 Governing Law: This Agreement will be governed by and construed in accordance with the laws of the State of California.
10.3 Dispute Resolution: Any disputes arising from this Agreement will be resolved through binding arbitration in the State of California.

By signing up for and participating in the Program, you acknowledge that you have read, understood, and agree to the terms and conditions of this Affiliate Program Agreement.
